Constitution of Credit Alliance of Renowned Chinese and Foreign Enterprises (For Deliberation)

Chapter I General Principles

Article l The Credit Alliance of the Renowned Chinese and Foreign Enterprises (hereinafter abbreviated as the Alliance) endorsed by the State Council of the People's Republic of China is one component part of the World Economic Development Declaration Conference. The Alliance is an united credit organization jointly sponsored by the Organizing Committee of the World Economic Development Declaration Conference in cooperation with renowned Chinese and foreign credit enterprises, professional organizations, governmental institutions, famous Chinese and foreign credit rating organs and relevant expert groups.

Article 2 The Alliance shall abide by international credit norms and mobilize all kinds of social forces to promote the establishment of Chinese enterprise credit with the effect of credit exemplary group of members.


Chapter II Tasks

Article 3 The tasks of the Alliance are as follows:

1). Disseminate credit culture, enhance credit awareness, exchange credit information and tap credit resources so as to promote the establishment of China's enterprise credit;

2). Conduct a research on the implementing principles for credit system, which are suitable to the current status of Chinese enterprises so as to provide the Government for policy making as a reference and popularize them after experiment among the Alliance members;

3). Make arrangement for the Implementation of "marking system for enterprise credit", which shall be internationally converged so that the credit situation for enterprises shall become transparent and the poor credit environment problems of our country caused by the shortage of enterprise credit information shall be gradually solved.;

4). Popularize "China's credit enterprises". The Alliance shall incubate more China's credit enterprise group in accordance with international standards and enable them to be internationally converged in the lead by making use of various means so as to seek more commercial opportunities for the Alliance members;

5). Provide credit governance service for enterprises and set up a data base of credit for member corporate; propagate and safeguard credit brands and image of the member corporate;

6). Hold annual meeting of the Alliance, promote exchange and cooperation between member corporate and edit and publish the yearbook for the Alliance.

Chapter III Membership

Article 4 The following organizations and members, who abide by the Constitution of the Alliance of their own accord, can apply for joining the Alliance.

1). The various enterprises of Grade A with a fairly high credit and accredited by the qualified and authoritative credit rating organ, which is confirmed by the Alliance;

2). Influential professional organizations;

3). Relevant governmental institutions;

4). Well-known credit rating organs;

5). Experts on credit theory and practice.

Article 5 Obligations of the Alliance members:

1). To abide by the Constitution of the Alliance;

2). To maintain good credit image of an enterprise;

3). To actively participate in the activities of the Alliance.

Article 6 Rights of the members of the Alliance:

1) The title of "Credit Enterprise" shall be conferred upon, which shall be published by media;

2). To be recommended to financial organs and investors and given assistance to funding by the Alliance;

3). To be provided with protection by the Alliance together with the governmental departments concerned and mass media when the credit of a member is encroached upon;

4). The resources of the Alliance shall be jointly used;

5). To enjoy the relevant preferential services provided by the Alliance.

Members reaching Grade AA or above accredited by authoritative credit rating organ, which is confirmed by the Alliance, shall enjoy the following rights:

1). The title of "China's Credit Enterprise" shall be conferred upon;

2). The marking of " China's Credit Enterprise" can be used in its activities of production;

3). Automatically become the object of "China's Credit Enterprise" popularized by the Alliance;

Article 7 Application for membership shall be approved by the Council of the Alliance and a membership card shall be issued by the Alliance.

Article 8 Members shall withdraw from the Alliance under any one of the following situations.

1). Credit rating is degraded;

2). Apply for withdrawal from the Alliance;

3). Violate the Constitution of the Alliance;

4). Refrain from participating in the activities organized by the Alliance;

5). Sentenced to criminal penalty.

The withdrawn member can apply for being a member of the Alliance again provided that its own conditions meet the requirements set forth for joining the Alliance.

Chapter IV Organizational Structure

Article 9 Organizational Structure: The Organizing Committee of the World Economic Development Declaration Conference.

Article 10 The Members' Congress is the highest organ of power for the Alliance.

Article 11 The term of Members' Congress is five years. The Congress can be convened on an earlier or later date. The Congress can only be convened with the attendance of more than 2/3 member representatives and its resolutions can only be effective when they are adopted by more than 50% of the representatives.


Article 12 Functions of Members' Congress:

1). To review and approve the work report by the Council;

2). To revise the Constitution;

3). To elect and recall Director-General;

4). To make a decision on other important matters.


Article 13 The Council of the Alliance is the executive body of the Members' Congress. It leads the daily work of the Alliance when the Congress is not in session and is accountable for the Members' Congress.

Article 14. The Council comprises Honorary Director-General, Director-General, specially invited Deputy Director-General, Executive Deputy Directors-General, Deputy Director-General, Executive Directors, Directors and Secretary-General. Secretary-General is in charge of and carries out the daily work.

Article 15 Functions of the Council:

1). Implement the Constitution and the decisions of the Members' Congress;

2). Invite Honorary Director-General and consultants for the Council;

3). Appoint Executive Director-General, Deputy Director-General, Executive Directors, Directors and Secretary-General, who are nominated by Director-General and approved by the Executive Council;

4). Invite and appoint leaders for various organs of the Alliance;

5). Make decisions on recruiting or withdrawing members;

6). Make preparatory work for Members' Congress;

7). Lead the various organs of the Council in execution of daily work;

8). Work out governing systems for the Council;

9). Make decisions on other major matters.

Article 16 The Council meets once a year. Under special circumstances, it can convene a meeting through exchange of letters among Members. The meeting can only be held with more than 2/3 members' presence and its resolutions can only be effective when they are adopted by over 2/3 members' participation.

Article 17 Executive Director-General of the Council shall take his post in turn.


Chapter V Assets Management

Article 18 Sources of Funds for the Alliance come from the following aspects:

1). Donations by enterprises;

2). Consulting service fees;

3). Other lawful service income;

Article 19 Funds must be spent within the business scope and on the development for the Alliance as stipulated in this Constitution.

Article 20 The funds must be under the unified management of the Alliance.

Article 21 The wages, insurance and welfare of the full-time staff of the Alliance shall be paid by reference to the related stipulations as provided by the State.

Chapter VI Constitution Amendment

Article 22 Any amendment of the Constitution shall be adopted by the voting of the Council and then be reviewed and approved by the Members' Congress.


Chapter VII Supplementary Article

Article 23 The Council shall work out detailed rules and regulations for implementing the Constitution.

Article 24 The Council is accountable for the explanation of the Constitution.
